DAVID A. STEINBERG
CHIEF EXECUTIVE OFFICER
Prior to founding XL Marketing, Mr. Steinberg founded InPhonic, the largest seller of wireless phones and communications products and services on the Internet, with annual revenue in excess of $400 million. InPhonic was #1 on Inc. 500 list of fastest growing companies in 2004, the year it went public on the NASDAQ. Mr. Steinberg also served as chairman and Chief Executive Officer of Sterling Cellular, a B2B and retail wireless communications provider, and Sterling Communications, a communications telemarketing company. Mr. Steinberg was named the Greater Washington Ernst & Young Entrepreneur of the Year for communications in 2002. He currently sits on the Board of Directors of Faster Cures of the Milken Institute, the Greater Washington Sports Alliance, Cupcake Digital, and the Board of Trustees of Washington & Jefferson College and previously served on the Board of Directors of the U.S. Chamber of Commerce. Mr. Steinberg holds a B.S. from Washington & Jefferson College.

STEVEN GERBER
CHIEF OPERATING OFFICER
Mr. Gerber is the former Chief Operating Officer of Active Response Group, where he led the day-to-day management and the turnaround efforts of the company until its assets were acquired by XL Marketing in 2009. Mr. Gerber came to ARG from TRANZACT, LLC, one of the leading customer acquisition companies in the US, where he served as SVP of Marketing and worked with leading brands such as Verizon, Prudential, AIG, Countrywide and Humana. Mr. Gerber was a co-founder and COO of HotSocket Inc. a pioneer in performance-based digital marketing. He has also worked in leadership roles at Digitas Inc. and Bain & Co. Mr. Gerber holds a BA from Northwestern University and an MBA from Columbia University.

CHRIS SPRING
CHIEF FINANCIAL OFFICER
Mr. Spring joined CAIVIS Acquisition Corp in 2009. Previously Mr. Spring served as the SVP-Divisional CFO at InPhonic Inc., where he was responsible for accounting, inventory, billing operations, and Sarbanes-Oxley implementation functions, as well as integrating accounting systems of acquired companies and many aspects of InPhonic's successful IPO. Prior to joining InPhonic, Mr. Spring held various industry and independent contractor positions including leading a 10-person consulting team at MCI Inc. during its successful financial restatement in 2004 and served in senior financial management positions at ER Labs, GPC Systems Inc., Equant Inc., and Excel Holdings Inc. Previously Mr. Spring held various positions in public accounting, specializing in audits of small businesses, non-profits, and state and local government agencies. Mr. Spring holds a B.B.A. in Accounting from Radford University and is a licensed CPA in Virginia. He is an active member of both the American Institute of Certified Public Accountants and the Virginia Society of Certified Public Accountants.

DAN BERGER
EXECUTIVE VICE PRESIDENT & GENERAL COUNSEL
Mr. Berger joined CAIVIS Acquisition Corporation in 2008. Mr. Berger began his professional career by practicing law at Greenberg Traurig, LLP, Womble, Carlyle, Sandridge & Rice, Baker & McKenzie and Katten Muchin Rosenman LLP where he was a partner in the corporate and securities group. He counseled clients on mergers and acquisitions, private equity financings and public and private offerings of equity and debt securities involving over a billion dollars of capital and over one hundred transactions. Mr. Berger was an owner, the Vice President and General Manager in charge of operations of a residential construction subcontractor with annual revenues in excess of $20M. Mr. Berger founded and was President of Fairmont Advisors, Inc. ("FAI"), a consulting company that help small and mid-sized companies with operational, financial and transactional support. He holds a JD/MBA (finance) from New York University and a BA from Emory University.

ANIL UNNIKRISHNAN
SVP AND GENERAL MANAGER, ZETA
Prior to assuming his current role, Anil held the position of President, India Operations, managing Zeta's offshore unit of 200 employees supporting product development and client services. Anil was responsible for setting up a scalable delivery system and a sustainable productivity and quality of each line function. Anil joined Zeta (formerly Zustek) in 2003, quickly establishing a successful track record in developing new products and managing a growing team responsible for email deployments and client transitions. Anil received a post-graduate degree at The Oberoi Center of Learning and Development in their Hotel Management School in New Delhi and an Executive MBA from IIM Calcutta.

DEAN PAPPAS
SVP AND GENERAL MANAGER, XLM DATA AND EMAIL SERVICES
Mr. Pappas started as an intern at SpireVision who joined XL Marketing in connection with its acquisition of that company in 2009. In 5 years, Mr. Pappas rose through the ranks to SVP and General Manager of Email and Data. His vision and leadership helped XL Marketing become a leader in email marketing and data analytics. He also started XL's Charity Program with New York Cares and has led XL's Soccer team to two Championship wins in the NYC Corporate League. Prior to joining SpireVision, Mr. Pappas started Greece's first online gaming hosting group, was a co-founder of Gamecity.gr, and held a Business Development position at Codix, a payment processing software company. Mr. Pappas holds a BA from the American College of Athens.

ZACH PRITCHETT
VP AND GENERAL MANAGER, XLM NETWORK
Mr. Pritchett manages the strategy, business development team and key publisher relationships for XL Marketing's Affiliate Network. Prior to joining XL Marketing Mr. Pritchett was a leading producer for television, music video and commercial projects. His clients included Bravo, CBC, Court TV, Discovery, ESPN, FUEL, HGTV, MTV and USA. Mr. Pritchett holds a BA from Wheaton College in Norton, Massachusetts.

HARRISON DAVIES
VP AND GENERAL MANAGER, XLM INTERACTIVE
Mr. Davies heads XL's Interactive Marketing division, the company's media buying and campaign management engine. Operating across Social, Search, Display, and Mobile, the unit is one of the largest buyers of social media ads across Facebook and LinkedIn for clients in the education, insurance, entertainment, fashion, and B2B verticals. Mr. Davies joined XL Marketing via its 2009 acquisition of Caridan Marketing Labs LLC, where he specialized in performance media and agency relations. As an early Facebook beta partner and Ads API Partner, he and his team have spearheaded testing of the many new ad formats that are now standard. Mr. Davies holds an A.B. from Dartmouth College.
